Major changes and key developments
Boutique Corporation was established on 13 February 2007 by Mr. Prabsharan Singh Thakral to engage in the leading real estate development and asset management company, focusing on Build-Operate-Sale (BOS) in hotels, serviced apartment, mixed-use, and commercial real estate. Thakral’s family decided to re-structured BOS business model companies to be subsidiaries under BC in order to prepare for the listing on the Stock Exchange of Thailand. All Events in 2021
- In April, BC Group secured a land lease on Charoenkrung Road to develop a last-mile retail project called “Cove Hill”
- In June, a partnership between Bespoke Life Science, a company under BC Group, and RMUTL, received FDA licenses for the import of cannabis seeds and for the cultivation of cannabis for research and development (R&D)
- The Extraordinary General Meeting of Shareholders No. 1/2021 on 14 July 2021 resolved to approve the increase in the Company’s registered capital from 507,000,000 Baht to 774,100,000 Baht by issuing 267,100,000 new ordinary shares with a par value of 1 Baht per share to accommodate: (1) the exercise of BC-W1 warrants in the amount not exceeding 101,400,000 shares, (2) the exercise of BC-ESOP-W1 warrants in the amount not exceeding 15,000,000 shares and (3) the issuance and offering of new ordinary shares under General Mandate in the amount not exceeding 100,000,000 shares to be offered to existing shareholders on a pro rata basis (Right Offering) and not exceeding 50,700,000 shares to be offered to private placement
- In November, the partnership between Bespoke and RMUTL has commenced the cultivation of cannabis by importing 39 cannabis seed strains for a total of 380 seeds.
- Also in November, BC Group has divested its investment in Citadines Sukhumvit 23 project to a non-related buyer
- In December, BC Group signed a franchise agreement with ACCOR Thailand for Ibis Chiangmai Nimman Journeyhub.
All Events in 2020
- In January, BC Group entered into a Sale and Purchase Agreement to acquire a land plot in Sukhumvit Soi 5 to develop a hotel.
- In April, BC Group temporarily closed some of our hospitality projects in BMA and upcountries to follow the government’s measures to prevent the spread of COVID-19 in Thailand.
- In May, BC Group resumed operations of hospitality projects in Bangkok, Pattaya and Chiang Mai as the government relaxed its measures to prevent the spread of COVID-19 in Thailand.
- In September, BC Group officially launched its retail & office rental space in Summer Point.
- In October, BC Group signed an MOU with Rajamangala University of Technology Lanna (RMUTL) to cooperate and to promote research and development, cultivation, processing, and developing products for Thai traditional wellness based on hemp and cannabis

- In January, The Group Company officially opened the Summer Hub Offices for rent.
- In March, The Group Company opened Villa 1.
- In April, The Group Company commenced operations of Oakwood Hotel Journeyhub Pattaya, Chonburi
- In June, The Group Company sold Summer Hill and Summer Hub Offices projects to a non-related buyer.
- The Company’s initial public offering of 167,000,000 shares
- The Company’s shares were listed on the Market of Alternative Investment (mai) on 14 November 2019 with a ticker “BC”

- In February, The Group Company sold Hyatt Place Phuket, Patong Hotel to a non-related buyer.
- In February, The Group Company entered into a Sale and Purchase Agreement to acquire a land plot in Sukhumvit 36 to develop a hotel, called Oakwood Studios Sukhumvit Bangkok and the land was transfered in October 2018.
- In April, The Group Company acquired a land plot in Sukhumvit 16 to develop a hotel, called Jono Bangkok Asok Hotel.
- In the Extraordinary General Meeting of BC shareholder 1/2018 on 8 June 2018, the shareholders had a resolution to increase registered capital from THB 340,000,000 to THB 507,000,000. The 167,000,000 shares of increased capital shall be for IPO.
- In August, The Group Company entered into a Land Sale and Purchase Agreement to acquire a land plot in Kamala, Phuket, to develop two hotels and the land was transferred in November 2018.
- In October, the Group Company started handover the Summer Hub Offices’s rental spaces to tenants.

All Events in 2017
- The Group Company started to develop Novotel Chiangmai Nimman Journeyhub Hotel project at Huaykaew road, Chiang Mai.
- In February, The Group Company sold Rain Hill community mall, Sukhumvit 47 to a non-related buyer.
- In November, The Group Company opened Journey Hub Hotel, Phuket.
- In Q4 2017, The Group Company opened Summer Hill, a commercial retail located one step from Prakhanong BTS station.

All Events in 2016
- The Group Company opened Hyatt Place Phuket, Patong Hotel.
- In the Extraordinary General Meeting of BC shareholder 1/2016 on 17 May 2016, the shareholders had a resolution to split par value of the company shares from THB 100 per share to THB 1 per share. As a result, the number of registered and paid-up shares increased from 3,400,000 shares to 340,000,000 shares.
- On 27 May 2016, BC became a public company and changed its name to Boutique Corporation Public Company Limited.
- The Group Company started to develop mixed-use projects, Summer Hill and Summer Hub Offices.

All Events in 2015
- BC re-structured its shareholding structure by acquiring investments in subsidiaries and joint ventures which are under the same control of its shareholders. The re-structure was completed on 16 September 2015.
- In August 2015, BC entered into an agreement with B Asset Management Ltd. or BAM (Boutique Asset Management Ltd., previous name) to obtain the transfers of employees and management service agreements of properties and assets from BAM. BC has been counterparties of the transferred management service agreements instead of BAM since September 2015.
- In the Extraordinary General Meeting of BC shareholder No. 5/2015 on 9 September 2015, the shareholders had a resolution to increase registered capital from THB 38,249,500 to THB 340,000,000. The increased capital comprises of 3,400,000 common shares with THB 100 par value.
- On 16 December 2015, BC sold Ozo Pattaya Hotel to a non-related buyer.
